Patronage or membership of facilities at HaloHeat Sauna Studios is open to individuals who are at least 18 years of age. Minors between the ages of 16 to 18 may also be eligible for patronage or membership with the consent and accompaniment of a parent or legal guardian. Children under the age of 16 are not permitted. Patrons and members must hold a valid government issued identification and may be asked to present prior to servicing to confirm identity. 

By checking acknowledgement of the Studio Waiver, all patrons and potential members confirm they are fit to use our facilities and services. It is your responsibility to inform the studio of any changes to your health or fitness that might affect your ability to safely use our facilities or participate in our activities.

We reserve the right to refuse patronage or membership to any individual at our discretion.

Within the Sauna: Saunas are situated within private rooms. Within the sauna you can dress as you desire. Recommended options within the sauna are lightweight shorts and a tee-shirt, a swimsuit, or sans clothing with a towel on the bench. Towel service is available for use within the sauna.

Common Areas: Members are required to be decently covered within all shared spaces. We recommend adorning clothing that is loose fitting and comfortable pre and post sauna sessions.

All patrons are expected to use our facilities and services responsibly to behave in a manner that is respectful and considerate to other patrons, members, staff, and the facility. Inappropriate behavior, including but not limited to offensive language, and any actions that infringe upon the comfort, safety, or well-being of others will not be tolerated. Overtly sexual conduct or inappropriate exposure is strictly prohibited.

The following behaviors are expressly prohibited: misuse or damage of our property or equipment; disruptive or disrespectful behavior; use of tobacco or illegal substances; use of our facilities or services while under the influence of alcohol or illegal substances; harassment or intimidation of other guests or employees; violation of our safety guidelines; or any illegal activities.

Violation of this clause by you, or by guests within your party, will result in the termination of the studio session and/or revocation of membership and you will be escorted from premises without refund. We reserve the right to pursue any and all remedies available to us under the law. All parties and guests accompanying you under the session acknowledge and agree to always uphold the standards of conduct while in the sauna, common areas, and premises of the studio.

In addition to, but not limited to, all items previously mentioned, the following are not permitted at any time:

• Firearms and explosives
• Chemical weapons, including mace and pepper spray
• Knives, or any sharp or spiked items
• Tobacco, illegal drugs, vapes

Our priority is to provide a safe, respectful, and enjoyable environment for all guests and employees. We retain full discretion to deny service or access to any person whom we deem is not acting in accordance with these standards. We reserve the right to refuse service to anyone for any reason not prohibited by law, including but not limited to, refusal of service due to disruptive or disrespectful behavior, non-compliance with our policies, safety, and wellness guidelines, or unsatisfactory payment.

Membership is a month-to-month billed package selection. There are three levels of membership: “Escape,” “Rejuvenate,” and “Halo Oasis.” The Escape and Rejuvenate membership levels limit the number of sessions a member may use during their paid membership month, while the Halo Oasis level offers the greatest flexibility in the possible number of sessions a member may use in the given paid membership month. Sessions do not roll over month-to-month.  Memberships are not transferable. "Drop-in" patrons are pay-per-session members.  

Prices for our products and services are subject to change without notice. We reserve the right to modify or discontinue the products or services (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of products or services. 

Certain products or services may be available exclusively online through our website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy. No guarantee is given for accuracy of online products’ colors or images due to potential variation of computer monitor display.

We reserve the right to, but are not obligated to, limit the sales of products or services to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time, without notice, at the sole discretion of us. We reserve the right to discontinue any product or service at any time. Any offer for any product or service made is void where prohibited.

We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the product or service will be corrected.

Drop-in patrons, or those without a monthly membership, are required to provide a valid credit card at time of booking and to pay for services at the time of their visit. We reserve the right to collect at any time any delinquent or outstanding balance(s) that has not been paid including for any services, fees, or products provided or payments owed. The cost of each service or use of our facilities is available at the front desk and on our website. Payment is required prior to the use of any of our facilities or services. All sales are final, and no refunds will be given for any reason, except where required by law. Rates are subject to change without prior notice.  

We require a valid credit card as form of membership payment with authorization for us to automatically charge the card you have specified on or after the same day of each month for monthly membership fees until either you cancel, or we terminate your Membership Agreement in accordance with its terms and conditions; and in lieu of presenting it for any goods or services received. You acknowledge and agree that we may change the amount of your recurring monthly membership payment or the price for additional sessions per month after providing you written notice at least 30 days in advance of such a change, to be mailed or emailed to you at the address you provide or to any updated mailing address or email address of which you notify us in writing. Further, you acknowledge and agree that all sessions offered by us will be billed as a single session and deducted as one session from your monthly membership sessions. 

Non-payment or failure to pay for services rendered will result in immediate denial of access to our facilities and services and may result in further action as allowed by law. For the purposes of identification and billing, you agree to provide us with current, accurate, complete, and updated information including any changes to your method of payment.

Studio operating hours are posted online by location and within each studio. The studio may only be accessed during business hours. All patrons and members can book access for a session during the normal operating hours. 

To ensure availability and high-quality service for all our patrons and members, each session has an arrival grace period of no more than 10 minutes, after which time if you have failed to check in for your session, the session will be forfeited and listed as no-show. Late arrival within the grace period does not modify session end time or allotted time; if you arrive within the grace period, your session will end at the originally scheduled time.

To cancel a booked session, we require a cancellation notice of at least 8 hours prior to your scheduled session. If you fail to cancel within this timeframe or do not show up for your booked session you may be charged a late cancellation/no-show fee.

You may choose to cancel membership any time prior to midnight of the third business day after the date of initial purchase. For the purpose of this section, a “business day” shall be any day on which the studio at the top of this Agreement is open for business. To cancel this Agreement and receive a refund, less any applicable charges incurred, of payments made pursuant to the Agreement, you must send a written request via certified or registered mail or via email to your home studio, with the subject of, “Cancellation Request.” All refunds to which you are entitled will be made within 30 days of our receipt of your cancellation notice. In the event of a temporary studio closure, you will be charged your monthly membership fee unless you request to cancel or freeze your membership. 

After expiration of the initial three business day period set forth in the paragraph above, your membership will continue month-to-month until your membership is cancelled by you, or terminated by us in accordance with its terms. Thereafter, your written cancellation request must be mailed via certified mail or emailed  to your home studio, with the subject of, “Cancellation Request.”  

Your cancellation request will be effective 30 days after it is received. Any payments due from you under this agreement prior to the effective date of your cancellation or termination will be charged by us as scheduled and unused monthly sessions are forfeit and will not carry over to subsequent months past cancellation/termination. 

Member cancellation is not required for Drop-in members as they pay per session. 

The following provides rules and policies for the membership agreement terms, including a binding individual arbitration provision and class action waiver that affects your rights under this agreement. By partaking in a Membership you acknowledge agreement to the rules and policies document. 

We reserve the right to refuse to renew your Membership for any reason not prohibited by law, including but not limited to, an unsatisfactory payment history or failure to comply with any rules, policies, or modifications to rules or policies during this Agreement’s term. We reserve the right to collect at any time any delinquent or outstanding balance(s) that has not been paid including for any services or products provided or monthly payments owed. For the purposes of identification and billing, you agree to provide us with current, accurate, complete, and updated information including any changes to your method of payment. 

If by reason of death or disability, you are unable to receive the services subject to this Agreement, you or your estate shall be relieved from the obligation of making payment for services other than those received prior to death or the onset of disability and will be refunded prepaid monthly membership funds allocable to the remainder of the membership month within 30 days of our receipt of the Cancellation Notice. Prior to issuing a refund, the studio reserves the right to require and verify reasonable evidence of death or disability. 

Should you relocate your residence more than 25 miles from the location of your home studio, you may request that we designate a HaloHeat Sauna Studio center with comparable facilities and services to your home studio within 25 miles of your new residence to transfer your Membership Agreement to by submitting your written request for such designation, along with proof of your current residence and new residence, to us by mail or by email, with the subject, “Relocation Request.” If, after receiving sufficient proof of your old and new addresses, we are unable to designate a center as described above, you may cancel your membership and you shall be liable for that portion of the membership fees allocable to the time before you presented reasonable evidence of your old and new addresses and you shall receive a refund of the remaining balance within 30 days of receipt of the cancellation notice. 

Gift cards issued by HaloHeat Sauna Studios are redeemable exclusively for services offered at the Studio's premises. The bearer of the gift card must present it in person at the time of service redemption. The gift card must be surrendered to the Studio to apply its value to the bearer's service fees. Failure to present the gift card in person will preclude its use. We reserve the right to verify the validity of any gift card presented. This provision is intended to ensure the proper and intended use of the gift card as well as to prevent any potential misuse or fraudulent activity. Please retain your gift card securely and bring it with you to facilitate a smooth transaction process at the Studio.

The following provides rules and policies for the agreement terms, including a binding individual arbitration provision and class action waiver that affects your rights under this agreement. By signing the Agreement you acknowledge that you have read the following pages of the rules and policies document. We, reserve the right to alter or modify the below terms and conditions from time to time. Your acknowledgment below constitutes your agreement to any and all terms changed, modified or altered.

We urge you to obtain a physical examination from a physician prior to initiating any exercise or wellness program. HaloHeat Sauna Studios are not designed for individuals with impairments or conditions that would preclude them from modalities used within the studio including but not limited to the use of halotherapy, infrared therapy, or red-light therapy. Information provided to you by the studio, studio staff, or the studio website does not constitute medical advice. You acknowledge and understand that: (1) Your participation in the Activities is purely voluntarily and no promises, warranties or representations were made to you by us to induce you to participate; (2) you are fully responsible for yourself and those minors, guests and/or invitees brought by you; (3) We do not evaluate or diagnose your health and you have received medical clearance prior to engaging in the Activities; (4) you have been advised of the following possible side effects of halotherapy: Dry or itchy throat, nasal drip, and increased coughing at the beginning. This is a natural part of the cleaning process of the respiratory system, during which the pollution, accumulated over a long time, and now loosened up by the salt, is expelled from even the deepest regions of the lungs. Such side effects should cease with the removal of pollution and pathogens. Skin irritation and dermal sensitivity may occur. In such a case, decrease the frequency of sessions; (5) The Company has neither applied for or received approval by the Food and Drug Administration or any other consumer protection group; (6) The use of the sauna cabin at the studio has not been evaluated by the Food and Drug Administration or any other agency; (7) The use of Salt Therapy is not intended to treat, cure or prevent any illness or condition. All medical conditions should be treated by a physician competent in treating that particular condition. We assume no responsibility for customers choosing to treat themselves; and (8) All products and services provided by us, including written information, labels, brochures and flyers as well as information provided orally or in any other medium of communication, have not been evaluated by the Food and Drug Administration and are not intended to diagnose, treat, cure or prevent any disease. For all your health concerns, please consult an appropriately licensed healthcare practitioner.

Furthermore, you acknowledge and agree that: (1) it is your responsibility to disclose any medical condition or medication that could limit or prevent you from performing physical activity or any medical symptom or issues that arise during any studio session; (2) we may require you to provide written physician approval before you may use any of our equipment and/or participate in a session; and (3) you may discontinue participation in a session at any time. Further, you understand and agree that (1) there is a risk of injury associated with participation in any physical activity; (2) there exists the possibility for certain negative conditions occurring during or following physical activity; (3) prior to beginning and during any session provided by us, you are solely responsible for alerting staff of any potential hazards within the sauna to maintain safety; and (4) your registration for sessions is limited to your individual participation only. By signing this agreement, you acknowledge and voluntarily accept these risks and responsibilities which include risk of injury to your person or property or death of your person resulting from participation in any session or services provided by us or other HaloHeat Sauna Studios and agree to be responsible and liable for participation by another individual(s) who may gain access to a studio through you including without limitation, injury or damage to such individual’s person or property or death. You hereby waive all claims, assume all liability and release, hold harmless, indemnify, and agree to defend us as the owner and operator of the Studio, any other HaloHeat Sauna Studio, and any owner of any HaloHeat Sauna Studio you may visit, and any of our or their respective affiliates, successors, assigns, agents, representatives, and employees, from liability for any injury, claim, cause of action, suit, demand, and damages (including, without limitation, personal bodily, or mental injury, death, property damage, economic loss, consequential damages, and punitive damages), arising from or related to: (1) your failure to disclose any pre-existing conditions, limitations, or sensitivities; (2) your presence on or near the premises of any HaloHeat Sauna Studio; (3) your participation in any HaloHeat Sauna Studio session or use of any equipment at any other HaloHeat Sauna Studio; and/or (4) any negligence on our part (including our employees) or on the part of any employee at any other HaloHeat Sauna Studio. You expressly agree that this Assumption of Risk, Release, Waiver of Liability, and Indemnification is intended to be as broad and inclusive as permitted by law. Further, you expressly agree that if any portion of this Assumption of Risk, Release, Waiver of Liability, and Indemnification provision is held invalid, the balance of such shall be valid and continue in full legal force and effect. The terms and conditions of this provision are binding on you, your estate, family, heirs, administrators, personal representatives, and assigns.

In consideration of being permitted to participate in any way in the services, activities, and use of facilities at HaloHeat Sauna Studios, you, the undersigned, hereby understand and agree to the following:

1. Assumption of Risk: acknowledge that participation in sauna and wellness center activities involves known and unknown risks which could result in your physical or emotional injury, paralysis, death, or damage to self, to property, or to third parties. These risks include but are not limited to: heart attacks, muscle strains, pulls or tears, broken bones, shin splints, heat prostration, knee/lower back/foot injuries, and any other illness or soreness, including death, that may occur due to physical activity, consumption of services, or presence on premises.
2. Waiver and Release: you, for yourself, your heirs, executors, administrators, personal representatives, successors and assigns, waive and release any and all rights, claims, and causes of action you have or may have against HaloHeat Sauna Studios and its affiliates, their agents, officers, directors, employees and volunteers that may arise as a result of your participation in any activities or your use of any products or services.
3. Indemnity: you agree to indemnify, defend, and hold harmless HaloHeat Sauna Studios, its affiliates, officers, directors, employees, agents, representatives, and volunteers, from any and all losses, claims, actions, damages, costs, and expenses (including reasonable attorneys' fees), arising out of any loss, injury, death or damage.
4. Health Warranty: you represent that you are physically fit and have no medical condition that would prevent your full participation in sauna and wellness center activities. You acknowledge that HaloHeat Sauna Studios did not give you medical advice before the sauna and wellness center activities, and cannot give you any after, related to my physical condition and capability to endure the use of its facilities and services.
5. Acknowledgment: you confirm that you have read and understand this agreement. You understand that you are giving up substantial rights, including your right to sue. You acknowledge that you are signing this agreement freely and voluntarily and intend your signature to be a complete and unconditional release of all liability to the greatest extent allowed by law.

Any dispute arising out of or relating to this Agreement or your participation in any HaloHeat Sauna Studio session or use of any equipment at HaloHeat Sauna Studio, or relating in any way to the relationship of the parties created by virtue of this Agreement, including any such dispute with us, our owner, operator of the Studio (collectively defined as a “Dispute” or “Disputes”), shall be governed by State law regardless of your country or state of origin or the location of any HaloHeat Sauna Studio you visit, and notwithstanding any conflicts of law principles.  Disputes shall be resolved by final and binding individual arbitration, rather than in court, and without a jury. To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to the Studio’s registered agent registered with the State of Illinois as the preferred method or the Studio at the address or email address listed at the top of this Membership Agreement. The arbitration will be conducted in Chicago, Illinois, by the American Arbitration Association (AAA) under its rules (available at www.adr.org). Jurisdictional and arbitrability disputes, including disputes over the formation, existence, validity, interpretation, or scope of this Agreement, and who are proper parties to the arbitration, must be submitted to and rules on by the arbitrator. Arbitration costs and reasonable documented attorneys’ fees and costs of both parties shall be borne by the party that ultimately loses. The arbitration shall be conducted in person. Either party may obtain orders to compel arbitration or enforce arbitral awards in the courts located in Chicago, Illinois. We each agree that any dispute resolution proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. Neither you, we, nor any other person may pursue a Dispute in arbitration as a class action, mass action, private attorney general action, or other representative action, nor may any Dispute be pursued on your behalf in any litigation in any court except as provided above. If for any reason a Dispute proceeds in court rather than in arbitration, we each waive any right to a jury trial.

By providing your phone number you are agreeing to Communication Terms and Conditions and consent to authorize the Studio and/or our agents to call or send you text messages to the number you provide regarding (1) session reminders, waitlists, account balances, and/or transaction, and (2) HaloHeat Sauna Studio and its affiliates advertising or promotions. You acknowledge that these calls or text messages may be sent via auto dialer, and that standard message and data rates may apply. You are not required to authorize calls or text messages to become a HaloHeat Sauna Studio member, and you may opt-out at any time by request if called or by replying “STOP” in response to a message.  

We may photograph, record on an audio or video, or otherwise record within HaloHeat Sauna Studios. In exchange for your use of the Studio, you understand, acknowledge, and agree that you may be photographed, recorded on audio or video or otherwise recorded and hereby agree and consent for all purposes to the sale, reproduction, and/or use in any manner of any such photograph, audio, video, or other recording or depiction of your likeness and/or voice whatsoever by us, any HaloHeat Sauna Studio, and any nominee or designee of us, including without limitation any agency, client, periodical, or other publication, in all forms of media, whether now or hereafter devised, throughout the world and in perpetuity, and in all manners, including without limitation advertising, trade, display, editorial, art, and exhibition. You further understand and agree that any such photograph, audio, video, or other recording or depiction of your likeness and/or voice may be modified, altered, cropped, and combined with other content such as images, video, audio, text, and graphics, and hereby waive any right that you may have to inspect or approve any finished image, video, or audio containing a depiction of your likeness or voice. You further agree that the Studio, any other HaloHeat Sauna Studio, the owner, and/or our affiliates, may use any information gathered in this form or through your use of the Studio, provided the information does not personally identify you or provide facts that could lead to your identification, for any purpose, including without limitation research, product and program improvements, and statistical purposes. You agree to hold harmless and indemnify the Studio, any other HaloHeat Sauna Studio, the owner, and/or our affiliates, from and against any and all liability, damage, loss, and/or claims of any kind or nature whatsoever, including without limitation, any and all claims and demands relating to libel, invasion of privacy, and violation of publicity rights.
